CallCovered: Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Kept Labs LLC, a Pennsylvania limited liability company, through its CallCovered product ("CallCovered," "we," "us," or "our"), including our website at getcallcovered.com (the "Site") and our missed-call text-back and related communication services (the "Services"). By using the Services or signing an order for them, you ("Customer," "you," or "your") agree to these Terms.

1. The Services

CallCovered by Kept Labs LLC configures and manages an automated text-messaging system that responds to missed inbound calls to your business, forwards messages, requests customer reviews, and provides a reporting dashboard. The specific features depend on the package you purchase. We set up and operate the Services on your behalf using third-party telecommunications providers (including Twilio).

2. Eligibility and Your Account

You must be at least 18 years old and authorized to act for the business you register. You are responsible for the accuracy of the business name, phone number(s), and contact details you provide, and for all activity conducted through your configured Services.

3. Your Responsibilities and Acceptable Use

You agree that you will:

• Use the Services only for lawful communications with people who have contacted your business.
• Not use the Services to send unsolicited marketing, bulk/spam messages, or any content that is unlawful, harassing, deceptive, or infringing.
• Comply with all applicable laws and carrier rules governing business text messaging, including the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and A2P 10DLC registration requirements.
• Promptly honor opt-out ("STOP") requests. The system supports automatic opt-out handling; you must not attempt to circumvent it.
• Provide accurate information for carrier registration (A2P 10DLC). Providing false registration information may result in message blocking by carriers, for which we are not responsible.

You are solely responsible for the content of messages sent from your business number, including any customizations you request.

4. Messaging, Consent, and Carrier Compliance

The Services respond to consumer-initiated calls and messages. You acknowledge that:

• Message delivery is not guaranteed and depends on wireless carriers, which may filter, delay, or block messages outside our control.
• Standard message and data rates may apply to recipients.
• We register your business for A2P 10DLC on your behalf where included in your package, but carrier approval, timing, and throughput are determined by the carriers and third-party providers, not CallCovered.

5. Fees, Billing, and Cancellation

• Setup fee: A one-time setup fee is due before or at the time of onboarding, as stated on your order.
• Recurring fee: The recurring fee is billed in advance and covers the current service period. You may choose monthly billing or a prepaid semi-annual (6-month) or annual (12-month) term at the discounted rate stated on the Site; a prepaid term is billed once at the start of the term and renews for the same term and rate unless cancelled before the renewal date. Fees are stated on your order or on the Site.
• No long-term contract: You may cancel at any time. Cancellation stops future billing at the end of the current paid period (the current month, or the remainder of a prepaid term); fees already paid are non-refundable except as expressly stated in Section 6.
• Your business number after cancellation: A phone number we provide for the Services stays with CallCovered when your account is cancelled. Once the account is cancelled, the Services on that number stop: no text-back, voicemail, message forwarding, text commands, reminders, follow-ups, or reports. If you ask us before you cancel, or within 30 days after your account is cancelled, we will transfer (port) the number to your new carrier for a one-time fee of $99. After those 30 days we may release the number. If you forward your own business number to us, that number stays yours; turn off the call forwarding when you cancel.
• Taxes: Fees are exclusive of applicable taxes, which you are responsible for.
• Late or failed payment: We may suspend or terminate the Services if payment fails or is past due.

6. 30-Day Guarantee

If, within the first 30 days after your Services go live, the system captures zero missed-call leads (defined as at least one automated text-back sent to a missed caller), we will refund your first month upon request. On plans with a one-time setup fee, that fee is refunded instead. On a prepaid semi-annual or annual term, the full prepaid amount (and the setup fee, if any) is refunded and the Services end. This guarantee is limited to one refund per Customer and requires that conditional call forwarding was correctly configured and verified working for the duration of the period. It does not apply to accounts where the Customer prevented normal operation (e.g., disconnected or never-configured forwarding, invalid numbers, or blocked A2P registration due to inaccurate information).

7. Third-Party Services

The Services rely on third-party providers, including Twilio (telecom/SMS) and payment processors. Your use of the Services is also subject to those providers' terms where applicable. We are not responsible for outages, errors, price changes, or actions of third-party providers.

8. Intellectual Property

Kept Labs LLC retains all rights, title, and interest in the Services, software, configurations, message templates we create, dashboards, and the CallCovered brand. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain ownership of your business information and your customer data.

9. Data and Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. You are the party responsible for your customers' data and for having any consent required to communicate with them.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MESSAGES WILL ALWAYS BE DELIVERED. WE MAKE NO GUARANTEE REGARDING LEADS, REVENUE, SEARCH RANKINGS, OR BUSINESS RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLCOVERED BY KEPT LABS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to indemnify and hold harmless CallCovered by Kept Labs LLC, and its members, officers, and agents, from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your message content, or your violation of these Terms or applicable law (including TCPA/messaging violations).

13. Termination

Either party may terminate at any time. We may suspend or terminate immediately for non-payment, misuse, or legal risk. Upon termination, your right to use the Services ends and we may deactivate your configured numbers and dashboard.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the Site with an updated "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute informally. Any dispute not resolved informally will be handled in the state or federal courts located in Pennsylvania (in the county where the Company maintains its principal place of business), unless the parties agree in writing to arbitration or another venue.
